Social Coupon Program - Terms & Conditions

1. INTRODUCTION AND DEFINITIONS

We provide you and, if applicable, Authorized Users, access to our Social Coupon Program (the "Program") for your use, subject to your acceptance of and compliance with these Social Coupon Terms and Conditions (the "Terms and Conditions"), and the terms and conditions of any applicable order(s) that you or your Affiliates enter into, online or offline, that specifically references these Terms and Conditions (each, an "Order") (collectively, the "Agreement"). All references to "coupons" in the Agreement include all coupons that are created or served through the Program. In the Agreement, (i) "we," "us," and "our" mean Click Clip Coupons Inc. ("CCC") (ii) a "CCC Company" means CCC, Direct Response Media Group Inc. or another Affiliate of CCC or Direct Response Media Group Inc., (iii) "CCC Entities" are the CCC Companies and their officers, directors, consultants, contractors, agents, attorneys, employees, and third-party service providers, (iv) "you" and "your" mean the entity signing below, the company name you provided during the online registration, or the company name in an Order, and any of its Affiliates that execute an Order for the Program, (v) "CCC Code" is proprietary software code and related tools that we may offer to you in connection with the Program, and which are part of the Program; (vi) "Affiliate" means, with respect to an entity, any other entity that directly or indirectly controls, is controlled by, or is under common control with such entity, and (vii) "Authorized Users" means your agents, representatives, contractors, account managers, and any person or entity acting or apparently acting on your behalf, and your Affiliates that access the Program without executing an Order. Terms used but not defined herein will have the meanings given to such terms in the Order. Terms used in any Order but not defined therein will have the meanings given to such terms in these Terms and Conditions. All definitions shall apply both to their singular and plural forms, as the context may require.

2. PAYMENT

  1. Advance Payment. Payment for an Order must be made prior to you using the Program. All payments are currently paid directly to Direct Response Media Group Inc. (a CCC Company) and any credit card or electronic check issues must be handled directly through Direct Response Media Group Inc., in addition to any issues about the amount of payment owed and other billing. Regardless of the foregoing, you agree that CCC will receive the full amount due for any Order placed by you. Any late payments are subject to our fees as set out in subsection (d) below and the Program will be suspended.
  2. Recurring Payments. Depending on the payment plan you choose, you authorize us to directly charge your credit card or other account (such as PayPal) on a one-time, regular, or sporadic basis. Payments that occur on a periodic recurring payment schedule are known as 'Recurring Payments.' Recurring Payments are sometimes called "subscriptions," "preapproved payments," "preauthorized payments" or "automatic payments."
  3. Cancelling Recurring Payments. You may cancel a Recurring Payment at any time up to 30 Business Days prior to the date the payment is scheduled to be made. To cancel a Recurring Payment log in to your account and follow the instructions to cancel the Order, and prevent further payment. Please keep in mind that Recurring Payments are sometimes referred to as subscriptions or preapproved payments. Within 2 Business Days of any Recurring Payment from your Account you will receive a confirmation of this transaction by email. In addition, be advised that if you cancel a Recurring Payment after the start date of an Order you will still be liable to CCC for the payment for the entire Order. In the event your payment is returned, invalidated or ineffective for any reason whatsoever, you will be required to pay CCC through alternative means for those such Orders which have commenced in accordance with subsection (d) below.
  4. Payment Deposits. We may require you to pay a deposit to us as security for fulfilment of your payment obligations in respect of any Program to which you subscribe ('Payment Deposit'). In the event that you pay a Payment Deposit, the following terms and conditions apply:

    1. the Payment Deposit will not be offset against future invoices payable by you;
    2. provided that you have met your payment obligations under the Agreement in full, following termination or expiry of the Agreement the Payment Deposit will be refunded to you in full (without any interest accrued from the date of receipt of the Payment Deposit by CCC);
    3. if you fail to make payment in full in accordance with the terms of the Agreement, your Payment Deposit shall be forfeited and shall remain with CCC:

      1. until such time your payment obligations under the Agreement have been made in full to the satisfaction of CCC, together with any interest due on those payments in accordance with the terms of the Agreement; and
      2. if your payment obligations under the Agreement have not been fulfilled to the satisfaction of CCC by six months from either 1. termination or expiry of the Agreement; or 2. the date of the invoices under which such payments are due, we shall offset your Payment Deposit against those outstanding payments due from you (together with any interest accrued on those outstanding payments in accordance with the terms of this Agreement). CCC shall return any balance of the Payment Deposit (without any interest accrued from the date of receipt of the Payment Deposit by CCC) after your payment obligations under the Agreement have been satisfied in full.
  5. Invoices and Late/Non Payment. In the event that your payment is returned, invalidated or ineffective for any reason whatsoever, or if you we agree by written agreement in advance to invoice you, you agree that, in addition to any set up fees, you will be charged for the monthly, serving, overage, and other fees specified in any Order placed by you. Each invoice shall be for the greater of (a) charges incurred or (b) the minimum fee set forth in the Order, and the minimum fee shall apply for any partial month and will not be pro-rated. We reserve the right to change the pricing, fees, and minimum volume commitments in an Order at any time upon thirty (30) days written notice to you. You agree to pay us all charges to your account in the currency indicated by us. You agree that our measurements are the definitive measurements under the Agreement and will be used to calculate your charges. Unless you prepay, we will submit an invoice to you at the e-mail or mailing address (at our discretion) on the Order or as required by applicable law, and you agree to pay such charges, without offset or deduction, within 30 days of the invoice date. We shall determine whether you may be and/or remain on an invoice basis, and we may require payment by credit card. If we agree to your request to send an invoice to a third party on your behalf, you agree that such third party will timely pay the invoice, and in the event such party does not pay the invoice, you are obligated to immediately pay all such amounts. Further, if we do not receive timely payment (including if your financial institution does not honour your check/cheque or we receive a chargeback), you shall pay all amounts due on your account upon demand and, in addition to other rights, we may suspend performance and/or terminate any agreement with you. All payments of service fees, unused promotional credits, and initial deposit(s) are non-refundable and our property. You agree to submit any disputes about charges to your account(s) to us in writing within 60 days of the date you incurred such charge, otherwise you waive such dispute and such charge will be final and not subject to challenge. If you fail to make payment as set forth herein, you will pay (i) a late fee equal to 1% monthly (or the highest amount allowed by law if less than 1% monthly) of all past due charges, and (ii) all reasonable expenses (including lawyers' fees) incurred by us in collecting past due charges. Charges and fees do not include any applicable sales, use, value-added, withholding, excise and any other similar taxes, or government charges (exclusive of our income taxes), which are payable by you and are in addition to any amounts due to us hereunder. Accounts with no activity for more than 24 months may be closed by us and will be assessed an account closing fee not to exceed the lesser of $30 CAD (or its equivalent), or the balance in the applicable account. If a balance remains (other than unused promotional credits and initial deposits), we will attempt to refund any portion of such balance that may be owed to you. In the event we are unable to refund any such balance using your contact information on file with us, we will dispose of the credit balance pursuant to the Agreement and our policies and procedures.

3. ACCESS

You agree that you will not:

  1. use any automated means, including agents, robots, scripts, or spiders, to access, monitor, scrape, or manage your account with us, or to access, monitor, scrape, or copy the Program or CCC systems or any data therein, except those automated means expressly made available by us or authorized by us in advance in writing (for example, third-party tools approved by us),
  2. interfere or attempt to interfere with the proper working of the Program or CCC systems,
  3. use or combine the Program with software offered under an open source license which would create any obligations with respect to the Program contrary to the Agreement, or grant to any third party any rights to or immunities under our intellectual property or proprietary rights in the Program, nor
  4. use the Program in connection with any ultra-hazardous activity, or any other activity for which its failure might result in serious property damage, or death or serious bodily injury. The Program, including formatting, passwords, and access codes related to your account may not be used by, nor made available to, any third party, except Authorized Users. You agree to promptly notify us in writing if you become aware of a potential breach of security relating to your account(s) with us, such as the unauthorized disclosure or use of your username or password. Authorized Users must comply with the Agreement and you are liable for their acts and omissions in connection with the Agreement, and any charges, costs, fees, or expenses they may accrue. We reserve the right to modify or discontinue offering the Program or any part thereof. Your Information (defined below) and ads must comply with our policies and specifications, which we may change from time to time in our discretion.

LIMITED USE LICENSE

We grant you a non-exclusive, revocable, non-transferable, non-assignable, non-sub licensable, limited-use license to use the Program for the sole purpose of creating online coupons for display in Canada and the United States. As part of the Program, we may provide proprietary analytic tools to monitor usage and traffic associated with the coupons you serve through the Program ("Coupon Analytics"). You agree that your use of Coupon Analytics will be limited to your internal business use in Canada or the United States. While using the Program, you agree to, and to cause your Affiliates, Authorized Users, and clients to: (i) obtain all rights and permissions necessary for the CCC Companies to collect and use the Coupon Analytics data, including statistical and traffic information collected by us and/or provided by you or an Affiliate, Authorized User, or client.

YOUR PROGRAM OBLIGATIONS & COUPON REDEMPTION

You agree that we are not responsible for any aspect of your or third-party coupons or for any aspect of your or any third-party site(s). You represent, warrant, and covenant that all information you provide (including our suggestions) in connection with the Agreement and/or in a coupon, including all creative, titles, descriptions, trademarks, listings, abstracts, keywords, coupon target options, domain names, content of coupons, data, data feeds, and URLs (each of the foregoing, individually and collectively, "Information") is, and will be updated to remain, current and accurate. In order to participate in the Program, you grant the CCC Entities a non-exclusive, royalty-free, worldwide license in connection with the Program to use, copy, adapt, reformat, recompile, manipulate, communicate by telecommunication, and/or modify any part of the Information for public performance, public display, and distribution. You agree that none of the CCC Entities shall have any liability for your coupons or Information. You hereby grant us the right to use your name and logo, including for display on our website(s), to disclose you as one of our authorized publishers that use this Program. CCC TAKES NUMEROUS SECURITY MEASURES TO LIMIT THE NUMBER OF COUPONS THAT CAN BE DISTRIBUTED IN ACCORDANCE WITH THE PARAMETERS AS SET OUT IN AN ORDER. SUCH MEASURES MAY INCLUDE, BUT ARE NOT LIMITED TO, BARCODE TRACKING TECHNOLOGY, BUILT-IN PRINTING, EMAIL AND OTHER LIMITATIONS, AND/OR P.O.S. INTEGRATION. NOTWITHSTANDING THE FOREGOING, REGARDLESS OF THE TYPE OF COUPON YOU GENERATE THROUGH OUR PROGRAM OR ANY LIMITATIONS PLACED THEREON BY YOU, ULTIMATLEY YOU FORM TERMS ARE SOLELY RESPONSIBLE FOR MONITORING AND ENFORCING ANY LIMITS ON COUPON REDEMPTION. CCC TAKES NO RESPONSIBILITY WHATSOEVER FOR TRACKING, VERIFYING OR LIMITING THE REDEMPTION AND/OR USE OF COUPONS GENERATED OR DELIVERED BY OUR PROGRAM.

PRIVACY & CONFIDENTIALITY

Nothing contained in the Agreement will prevent a CCC Company from complying with applicable privacy laws and regulations, and if there is any conflict between the Agreement and the terms of the applicable CCC Company privacy policy ("Privacy Policy"), the Agreement shall control. Notwithstanding anything to the contrary in the Agreement or the applicable Privacy Policy, all data and information gathered or received by us in connection with providing the Program and all information described in the applicable Privacy Policy may be shared with and used by the CCC Entities. You may not issue any press release or other public statement regarding the Agreement, the Program, or a CCC Company without our prior written consent.

REPRESENTATIONS

You represent, warrant, and covenant that:

  1. you have the rights, authority, and any required permission and consent to enter into the Agreement,
  2. you are a business, not a consumer,
  3. your use of the Program is solely for lawful business purposes,
  4. all Information is free of viruses, Trojan horses, trap doors, backdoors, Easter eggs, logic bombs, worms, time bombs, cancelbots, and/or other computer programming routines that may potentially damage, interfere with, intercept, or expropriate any CCC Company system data or information,
  5. a click on any coupon used in connection with this Program will not: cause damage to a user's computer, download a software application(s), change a user's settings or create a series of multiple, sequential, stand-alone advertisements (including by pop-up window or pop-under window),
  6. you will not engage in, nor cause others to engage in, spamming or improper, malicious, or fraudulent (as determined by us) marketing activities relating to the Program,
  7. the Information, the coupons (including products and services referenced therein), the website(s) to which the coupons link, all emails, newsletters, and other materials and technology in connection therewith, any tools or code you use or make available in connection with the Program, and/or any act or omission by you relating to the Program or the CCC Entities: (1) do not violate any applicable law, statute, directive, ordinance, treaty, contract, or regulation, or CCC Company policies or guidelines (collectively, "Laws"), (2) do not infringe any copyright, patent, trademark, trade secret, or other intellectual property right of any person or entity, (3) do not breach any duty toward, or rights of, any person or entity, including rights of publicity and/or privacy, (4) are not false, deceptive, misleading, unethical, defamatory, libellous, or threatening, and (5) do not (as determined by us) reflect poorly on or tarnish the reputation or goodwill of a CCC Entity,
  8. you will not reverse engineer, disassemble, reconstruct, decompile, copy, or create derivative works of the Program, or any aspect or portion thereof, or Confidential Information, including source code or algorithms,
  9. you will not alter or remove any identification, trademark, copyright, or other notice from any aspect of the Program,
  10. you will comply with any trade sanction, or import regulation that applies to your use of the Program and agree to obtain all necessary licenses to use, export, re-export, or import the Program as applicable,
  11. you will not provide access to the Program, except to Authorized Users or employees who are bound in writing by use and confidentiality restrictions which are no less protective of us than those contained in the Agreement,
  12. you will not use the Program to promote any illegal activity, adult or pornographic content, or any other product or service deemed inappropriate by us, in our sole discretion.

INDEMNIFICATION

You agree to indemnify, defend, and hold harmless the CCC Entities from all claims, whether actual or alleged (collectively, "Claims"), that arise out of or in connection with your Information and/or coupons, your or Authorized Users' use of the Program, or CCC Company system, your website, or your or Authorized Users' breach of the Agreement. You agree to be solely responsible for defending any Claim against a CCC Entity, subject to such CCC Entity's right to participate with counsel of its own choosing, and for payment of all judgments, settlements, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, resulting from all Claims against a CCC Entity, provided that you will not agree to any settlement that imposes any obligation or liability on a CCC Entity without its prior express written consent.

WARRANTY DISCLAIMER

YOU EXPRESSLY AGREE THAT THE PROGRAM, COUPON ANALYTICS, CCC CODE, CCC COMPANY SYSTEMS, AND DOCUMENTATION ARE PROVIDED ON AN "AS IS" BASIS, WITHOUT WARRANTY, REPRESENTATION, CONDITION, OR GUARANTEE OF ANY KIND, EXPRESS OR IMPLIED, AND THAT YOUR USE THEREOF IS AT YOUR OWN RISK. WE HEREBY DISCLAIM ON BEHALF OF ALL CCC ENTITIES ANY AND ALL WARRANTIES, REPRESENTATIONS, CONDITIONS, OR GUARANTEES, INCLUDING ANY WARRANTIES OR CONDITIONS OF TITLE, MERCHANTABILITY, MERCHANTABLE QUALITY, SERVICE QUALITY, NONINFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE.

LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ANY LIABILITY OF THE CCC ENTITIES IN CONNECTION WITH THE AGREEMENT, UNDER ANY CAUSE OF ACTION OR THEORY, SHALL BE STRICTLY LIMITED TO THE AMOUNT ALREADY PAID BY YOU TO US PURSUANT TO THE AGREEMENT IN THE SIX- MONTH PERIOD PRIOR TO THE EVENT GIVING RISE TO THE CLAIM. IN NO EVENT SHALL ANY CCC ENTITY BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF, OR IN CONNECTION WITH, THE AGREEMENT. YOU AGREE THAT YOU WILL NOT HOLD US RESPONSIBLE FOR THE SELECTION OR RETENTION OF, OR ANY ACTS, ERRORS, OR OMISSIONS BY, ANY THIRD PARTY IN CONNECTION WITH THE AGREEMENT.

TERMINATION

At any time, for any or no reason, you or we may terminate the Agreement and/or your participation in the Program, and we may suspend or limit your participation in the Program or any part thereof. The CCC Entities shall not have any liability regarding the foregoing decisions. Notwithstanding the foregoing, unless the Agreement is terminated due to a breach by you, we will continue to provide you access to the Program for thirty (30) days after the date of termination. Except as detailed in the prior sentence, upon any termination of the Agreement, you will immediately cease accessing and using the Program and Coupon Analytics. Upon termination, suspension, or discontinuation of the Program or your participation therein, your outstanding payment obligations incurred under the Program will become immediately due and payable. Sections 2, 3 (second, fourth, and fifth sentences only), and 6 (third, fourth, and seventh sentences only), and 7 through 13 of these Terms and Conditions, the defined terms of the Agreement, and any applicable provisions specified in an Order, shall survive termination of the Agreement.

NOTICES

We may give notices to you by posting on any CCC Company website, or by email to the address provided by you to us. It is your responsibility to ensure that your contact and account information (including your email and billing addresses) is current and correct, and you will promptly notify us in writing of any changes to such information. All notices to us shall be sent via recognized overnight courier or certified mail, return receipt requested, to: General Counsel, Click Clip Coupons Inc., 3585 Laird Road, Suite 15 & 16, Mississauga, Ontario, L5L 5Z8 (Canada).

CHOICE OF LAW

The terms of the Agreement and any dispute relating thereto or between you and us shall be governed by the laws of the Province of Ontario, without regard to conflict/choice of law principles. You and we expressly agree to exclude the application of the United Nations Convention on Contracts for the International Sale of Goods. You agree to submit to the exclusive jurisdiction of the provincial and federal courts located in Peel Region, Ontario, or another location designated by us. Any claim against us shall be adjudicated on an individual basis and shall not be consolidated in any proceeding with any claim or controversy of any other party.

OTHER

The Agreement constitutes the entire agreement and understanding between you and us regarding the subject matter contained herein and supersedes all previous and contemporaneous agreements, proposals, representations, claims, and communications in all forms of media (including all instructions, advertisements, messages, and policies), written and oral, regarding the subject matter contained herein. In the event of a conflict between these Terms and Conditions and an Order, these Terms and Conditions shall take precedence. Notwithstanding the foregoing, an Order may amend these Terms and Conditions only if the amended terms contained in such Order: (i) apply only to the account(s) listed in the Order, (ii) apply only to that Order and not to any other Order, and (iii) specifically identify the provision(s) of these Terms and Conditions they amend. No terms or conditions other than those set forth in these Terms and Conditions or an Order shall be binding on us unless expressly agreed to in writing by us. Only a written instrument specifically waiving compliance that is executed by whichever of you or us is entitled to waive such compliance may waive any term(s) and/or condition(s) of the Agreement. No waiver by you or us of a breach of any provision hereof shall be deemed a waiver of any other breach of such provision or a waiver of the provision itself. If any provision of the Agreement is held or made invalid or unenforceable for any reason, such invalidity shall not affect the remainder of the Agreement, and the invalid or unenforceable provision shall be replaced by a valid provision that has a similar economic effect. We shall have no liability under the Agreement by reason of any failure or delay in the performance of our obligations on account of strikes, shortages, riots, acts of terrorism, insurrection, fires, flood, storm, explosions, earthquakes, Internet and/or electrical outages, computer viruses, acts of God, war, governmental action, or any cause that is beyond our reasonable control. You and we are independent contractors and nothing in the Agreement shall be construed to create, evidence, or imply any agency, employment, partnership, or joint venture between you and us. Except as otherwise set forth in the Agreement, neither you nor we shall have any right, power, or authority to create any obligation or responsibility on behalf of the other and the Agreement is not intended to benefit, nor shall it be deemed to give rise to any rights in, any third party. You may not assign, sublicense, or transfer the Agreement or any right or duty under the Agreement. Any assignment, transfer, or attempted assignment or transfer in violation of this Section 14 shall be void and of no force or effect. We and our subsequent assignees may assign, delegate, sublicense, or otherwise transfer from time to time this Agreement, or the rights or obligations hereunder, in whole or in part, to any person or entity such as to our Affiliate(s). The Program is proprietary to us and is protected by the applicable provincial, federal, and international intellectual property laws and we retain all rights, title, and interests in the Program, together with all derivative works, modifications, enhancements, and upgrades, but excluding your Information. Any rights not expressly granted in the Agreement are reserved by us, and all implied licenses are disclaimed. Headings used in the Agreement are for reference purposes only. The term "including" is a term of enlargement meaning "including without limitation" and does not denote exclusivity. We may change the Agreement and/or a Privacy Policy at any time, notwithstanding Section 14 above, by posting such on the applicable CCC Company website or by email, and such revised Agreement and/or Privacy Policy shall supersede and replace the earlier Agreement and/or Privacy Policy. Any use by you or Authorized Users of the Program after such notice shall be deemed to be acceptance by you of the revised Agreement and/or Privacy Policy, including any amendments and modifications thereto. You understand and agree that services and obligations to be performed by us hereunder may be performed by other CCC Companies and/or third-party service providers.

1. Your Privacy, Our Commitment

Moneysaver.ca, a product owned and operated by Direct Response Media Group Inc. ("we," "us," or "Moneysaver.ca"), has created this privacy policy to demonstrate our firm commitment to protecting your profile information and informing you about how we handle it. This privacy policy only applies to transactions and activities in which you engage ("Transactions"), and data gathered, on the Moneysaver.ca web site (the "Site"), and does not apply to any other web site or offline point of contact between Moneysaver.ca, or any other company, and consumers. Please review this privacy policy periodically as we may modify it from time to time. This privacy policy was last revised on 30 January 2011. Each time you visit the Site or provide us with information, by doing so you are accepting the practices described in this privacy policy at that time.

Moneysaver.ca takes all reasonable precautions to maintain the security of any information obtained from and about you regardless of the format in which it is held.

We have comprehensive security controls to protect against unauthorized use, alteration, duplication, destruction, disclosure, loss or theft of, or unauthorized access to your personal information.

2. Your IP address

Like most e-commerce websites, each time you visit the Site, we automatically collect your IP address and the web page from which you came. In order to administer and optimize the Site for you and to diagnose problems with our Site, we use your IP address to help identify you and to gather broad demographic information about you.

3. Cookies

Like most websites, the Site uses cookies to keep track of your purchases and other activity on the Site and enhance your experience on the Site. We also use cookies to deliver content specific to your interests, to save your password, and if you choose, to save other personal information so you do not have to re-enter it each time you visit the Site. Third parties advertisers on the Site may also place cookies on your browser. If you wish to disable these cookies, the "help" portion of the toolbar on most browsers will tell you how. However, if you set your browser to disable cookies, you may not be able to access certain areas or features of the Site.

4. Information we collect from you

In order to operate the Site and provide you with information on products and services that may be of interest to you, we may collect profile information (i.e. information that could be used to contact you such as full name, postal address, phone number and email address), site-specific sensitive information (e.g. passwords), demographic information (e.g. postal code, hometown, gender, purchase history information and age), public information such as user ratings and reviews and a user name from you. Please note that nowhere on the Site do we knowingly collect profile information from children under the age of 18. The Site also provides you with the opportunity to save, in a Sponsor or User account, coupon parameters, statistics, point accumulation, draw and prize history, and other related information available for you to view on the Site in connection with our services. A collection of such information that is so saved in a personal account is referred to elsewhere in this privacy policy as "Special Information."

5. Information other web sites collect from you

On the Site, we place links to other web sites operated by other parties. Some of these other web sites contain our brand names and trademarks and other intellectual property that we own; others do not. When you click on these links and visit these other web sites, regardless of whether or not they contain our brand names, trademarks and other intellectual property, you need to be aware that we do not control these other web sites or these other web sites' business practices, and that this privacy policy does not apply to these other web sites. Consequently, the operators of these other web sites may collect different kinds of information about you, and may use and disclose that information in different ways than we would if it were collected on the Site. We encourage you to review their privacy policies and remind you that we will not be responsible for their actions.

6. How we use Personal Information

We use your Personal Information (also called "profile information") to help us efficiently perform Interactions on the Site, to contact you when necessary in connection with Interactions, and to send you information, offers and other promotional materials for MoneySaver.ca goods or services, or those of our affiliated companies, including but not limited to those of our affiliated company, Direct Response GTL Inc. We carefully select the information we send to you and attempt to send you offers or other information that are of value to you, such as discounts, exclusive offers or special event information. The Site provides you with the option of declining to receive offers from us by "opting-out" of receiving this type of communication. Subject to the above, you can rest assured that we will never sell your email or give it any third party without your express permission.

To process Transactions on the Site, we may share your profile information with our agents, representatives, contractors and service providers so they can provide us with support services such as authorization of credit card transactions, order fulfillment and sweepstakes and promotional fulfillment. We require these entities not to use your information for any other purpose.

By purchasing for products or services, electing to receive communications (such as emails or subscriptions), or electing to participate in coupon generation, distribution, contests, draws, sweepstakes, or other programs (such as discount or rewards programs), offered by us or third parties on the Site, you consent to our providing your profile information to any necessary third parties as required to fulfil such offerings. Those third parties may use your personal information in accordance with their own privacy policies. You will need to contact those third parties to instruct them directly regarding your preferences for the use of your personal information by them. Additionally, you agree that we will have the right to use and disclose all such information you submit in the same manner in which we use and disclose all other information you submit.

Your profile information may be passed on to a third party in the event of a transfer of ownership or assets, or a bankruptcy, of Moneysaver.ca Inc. We may also disclose specific information when we determine that such disclosure is necessary to comply with applicable law, to cooperate with law enforcement or to protect the interests or safety of Moneysaver.ca or other visitors to the Site. We also may disclose your profile information to our subsidiary and parent companies and businesses, and other affiliated legal entities and businesses with whom we are under common corporate control. However, all of these parent, subsidiary and affiliated legal entities and businesses that receive your profile information from us will comply with the terms of this privacy policy with respect to their use and disclosure of such profile information.

Any third party with whom we are allowed to share your profile information is authorized to use your profile information in accordance with our contractual arrangements with such third parties and in accordance with their own privacy policies, over which we have no control, and you agree that we are not responsible or liable for any of their actions or omissions. Those who contact you will need to be instructed directly by you regarding your preferences for the use of your profile information by them.

7. How we use financial information

We use your financial information to check your qualifications, to bill you for products and services and to enable you to participate in discount, rebate and similar programs in which you may elect to participate. By making a purchase, or engaging in any other kind of Transaction that uses financial information, on the Site, you consent to our providing your financial information to our service providers and to such third parties as we determine is necessary to process your Transactions, as well as to your credit card issuer for their purposes. These third parties may include the credit card companies and banking institutions used to process the Transaction. By purchasing, or making reservations for, products or services of third parties offered on the Site, or by participating in programs offered on the Site that are administered by third parties and that require you to submit financial information in order to use them, you also consent to our providing your financial information to those third parties. Any of these various third parties are authorized to use your financial information in accordance with our contractual arrangements with such third parties and in accordance with their own privacy policies, over which we have no control, and you that we are not responsible or liable for any of their actions or omissions.

8. How we use demographic information

We use demographic information to tailor the Site and communications to the interests of our users. We may share demographic information with advertisers and other third parties ("Sponsors") so that they can tailor their advertisements and communications to the appropriate audience. If you consent to have us share your profile information as described above, then the demographic information that we provide to Sponsors may be linked to your profile information so that Sponsors will be able to know about your demographic information. If you do not consent to have us share your profile information as described above, then we will only provide your demographic information to Sponsors on an anonymous and aggregated basis.

9. How we use public information, reviews, ratings and user names

When you register on the Site, you must enter a user name. Certain information within your profile is considered "public information." For example, the Site provides you with the opportunity to post comments in the forums. Your user name and public information may appear next to your user reviews and ratings as they are posted on the Site. Your user name and public information may also appear on a User Profile section of the Site. Please note that if you designate your email address as "public" information, then other Site visitors may see your email address and send you emails. The Site allows you to designate your email address as private, such that other users cannot view it. We may also use and disclose your user name, public information and reviews and ratings in any other manner.

10. How we use Special Information

For Users who accumulates points on the Site, or for Sponsors who generate coupons, certain information related to your account with us is maintained within your profile. This information, which we deem as "Special Information" includes, but is not limited to: information relating to coupons and campaigns generated by your account and any parameters related thereto; statistics relating to, for example, the distribution, placement or uptake of coupons; points accumulated through the Site’s reward system; and, draw and prize winning history. Special Information is greater protection than other types of information such as demographic information, and is treated by us like "Personal Information" (discussed above in Section 6). It is thus not made available to the public, unless we first receive your express consent.

11. Our security precautions, location of information

The Site has security measures in place to protect against the loss, misuse and alteration of the information under our control. Your information may be transferred to and maintained on computer networks which may be located outside of the state, province, country or other governmental jurisdiction in which you reside, and the countries in which these computer networks are located may not have privacy laws as protective as the laws in your country.

12. How you can access and update your email preferences, personal information and public/private designations

When you provide profile information to the Site, you must enter a user name. You may also be given the chance to designate certain of your profile information and other information as "public" or "private" and to opt-out of receiving certain communications from us and third parties, as described above. We also give you the opportunity to opt-out of certain communications and/or modify profile information you have provided to us, or to change public/private designations, at any time by clicking on the My Profile link, then clicking on the Edit My Profile link and selecting those portions of your profile you would like to update. Please be aware that it may take several hours for the changes you make to your public information or your public/private information designations to take effect on the public areas of the Site. We thank you for your patience.

After you submit personal information in connection with purchasing or reserving products or services, electing to receive communications or electing to participate in contests, draws, sweepstakes, or other programs (such as discount or rewards programs), offered or sponsored by third parties on the Site, we may use such information to send you marketing emails. However, if we do so, we will provide a link that you can click on to opt-out of receiving subsequent marketing emails generated from the same such information. In many cases we will also provide opt-in boxes so that you can indicate your preferences before receiving marketing emails.

Please note that changing or deleting your information through Edit My Profile, or otherwise opting-out of receipt of email communications from Moneysaver.ca will only change or delete the data in our My Profile database for purposes of future Transactions on the Site and for managing future communications from Moneysaver.ca. These changes and deletions will not change or delete information that we may have already forwarded to credit card companies or any other third parties, all as provided above in this privacy policy.
